Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Immicase platform, including any associated websites, applications, and services (collectively, the "Service"), provided by Immicase Inc. ("Immicase", "we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility and Account Registration
The Service is intended for use by immigration professionals, including Regulated Canadian Immigration Consultants (RCICs), immigration lawyers, and their authorized staff. By registering, you represent that you are at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately if you suspect unauthorized access to your account.
2. Use of the Service
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes. You may not sublicense, resell, or distribute access to the Service without our prior written consent.
3. Account Responsibilities
You agree to:
- Provide accurate and complete information during registration and keep it up to date
- Use strong passwords and enable two-factor authentication where available
- Ensure that all users you invite to your firm account comply with these Terms
- Not share account credentials with unauthorized individuals
- Promptly report any security breach or unauthorized access
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms and our Acceptable Use Policy. Without limiting the foregoing, you agree not to:
- Use the Service to store, transmit, or process any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
- Attempt to gain unauthorized access to any part of the Service, other accounts, computer systems, or networks connected to the Service
- Interfere with or disrupt the integrity or performance of the Service
- Use automated tools to scrape, crawl, or extract data from the Service without authorization
- Reverse-engineer, decompile, or disassemble any aspect of the Service
- Use the Service to violate any applicable law or regulation, including Canadian immigration law and privacy legislation
5. Client Data and Data Ownership
You retain full ownership of all data you enter into the Service ("Client Data"). We do not claim any ownership rights over your Client Data. We process Client Data solely to provide the Service and as described in our Privacy Policy.
You are responsible for ensuring that you have the necessary consents and legal authority to collect, store, and process the personal information of your clients through the Service.
6. Intellectual Property
The Service, including its software, design, content, trademarks, and documentation, is owned by Immicase Inc. and is protected by Canadian and international intellectual property laws. These Terms do not grant you any right, title, or interest in the Service other than the limited licence described in Section 2.
You may not copy, modify, distribute, or create derivative works based on the Service or any part thereof without our prior written consent.
7. Fees and Payment
Access to the Service requires a paid subscription as described on our Pricing page. Fees are billed in advance on a monthly or annual basis, depending on the plan selected. All fees are in Canadian dollars (CAD) unless otherwise stated.
We reserve the right to change our pricing with at least 30 days prior notice. Price changes will take effect at the start of your next billing cycle following the notice period.
If payment fails, we will attempt to collect the overdue amount. If payment remains outstanding for more than 14 days, we may suspend access to the Service until the balance is resolved.
8. Service Availability
We strive to maintain 99.9% uptime for the Service but do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to scheduled maintenance, upgrades, or circumstances beyond our reasonable control. We will provide reasonable advance notice of planned maintenance where possible.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Immicase Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of or inability to use the Service, even if we have been advised of the possibility of such damages.
Our total aggregate liability for any claims arising out of or related to these Terms or the Service shall not exceed the total fees paid by you to Immicase in the twelve (12) months immediately preceding the event giving rise to the claim.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, secure, or available at all times.
Immicase is a case management tool and does not provide legal or immigration advice. You are solely responsible for the accuracy of the information you enter and the professional decisions you make using the Service.
11. Indemnification
You agree to indemnify, defend, and hold harmless Immicase Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any applicable law or the rights of a third party.
12. Termination
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. Upon cancellation, you will retain access to the Service until the end of the paid period.
We may suspend or terminate your access to the Service at any time if you breach these Terms, fail to pay fees, or if we reasonably believe your use poses a security risk. We will provide notice where practicable.
Upon termination, you may export your data within 30 days. After 30 days, we will securely delete your data in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination will remain in effect, including Sections 6, 9, 10, 11, and 14.
13. Modifications to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree with the changes, you may cancel your subscription before the effective date.
14. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising out of or related to these Terms or the Service shall be resolved exclusively in the courts located in British Columbia, Canada, and you consent to the personal jurisdiction of such courts.
15. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and Immicase regarding the Service.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
- Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
